James M. Tressler’s practice is focused in the areas of Real Estate, Corporate and Commercial Transactions, Health Care Law, Banking, and Litigation. Over the course of his 17-year career Jim has been representing clients ranging from first-time home buyers to regional and national corporations that have the need for superior legal service in these areas of law.
In 2008, the year of the founding of Tressler Law LLC, Jim closed transactions ranging from $8,000 to over $20,000,000. Jim also represents these clients, not only with the specific acquisition, but also with the multitude of issues that flow from these transactions such as pre-acquisition planning and due diligence, entity formation, as well as litigation arising between homeowners, homeowners associations, neighboring property owners, municipalities and other governmental entities. It is typical following a real estate closing for Jim to represent his clients with their residential and commercial real estate tax assessment appeals throughout Northeastern Pennsylvania. He has represented a large public utility company with its real estate tax appeals on numerous parcels of land in multiple counties throughout the region.
As an outgrowth of Jim’s real estate practice, he is also a licensed and bonded title insurance agent and oversees Premier Realty Settlement Services, which provides a wide array of real estate settlement services throughout the 13-county area comprising Northeastern Pennsylvania. Once permitted by federal law, Jim became one of the first legal professionals in the region to establish several “affiliated real estate/title/settlement companies,” which are designed to offer real estate settlement services on a “one-stop” basis to banks, real estate agencies, mortgage brokers and contractors. He is a frequent speaker on real estate law, real estate title insurance and realtor/broker issues. Jim serves as co-solicitor for the Greater Scranton Board of Realtors and is often called upon to arbitrate disputes and hear ethics complaints involving realtors, home/business owners and brokers.
In his Corporate and Commercial Transactions practice, Jim focuses on advising clients beginning with the business start up, entity selection and formation, creating corporate governance documents, and continuing with entity acquisitions, mergers, consolidations, preparing contracts, real estate and equipment financing and leasing, and employment issues. Jim also acts as general counsel for a number of his corporate and commercial clients.
Jim’s corporate practice eventually came to include numerous professionals and providers in the health care industry. As a result, he has developed a wide-ranging specialization in health care law, with clients from individual medical practitioners to some of the largest physician/medical groups in Northeastern Pennsylvania, whom he assists with their various corporate and transactional needs. Jim has acted as counsel for the largest independent physician organization in the region – which was the first such entity in the country to partner exclusively with a health insurance company to provide region-wide patient care. On behalf of this client, Jim worked with other specialized counsel and professionals to obtain a mandatory business review opinion from the United States Department of Justice. Jim routinely drafts, reviews and negotiates contracts between health care providers and hospitals, third-party payors and vendors, as well employment agreements, including restrictive covenants. He has represented physicians and other health care providers before licensing and credentialing entities at both the local and state levels.
Jim utilizes his real estate and corporate experience to provide legal service to mortgage brokers and financial institutions on commercial and residential loan documentation and related issues. He regularly represents local and regional lenders in negotiating, documenting and closing significant real estate secured and asset-based loans. Some of these transactions have required Jim to work with other lenders to create and negotiate participation agreements, inter-creditor agreements and other similar arrangements. Jim’s experience includes acting as lead counsel on a complex commercial transaction for a large lending institution that provided financing to a commercial real estate developer/landlord, a publicly traded company and several participating financial institutions.
